Abstract: In order to find the appropriate way to resolve shareholder’s preemption conflicts within applicable law, and maximize the protection of the interests of all, by comparative research methods, the thesis discusses problems about shareholder’s preemption and puts forward reasonable suggestions, such as prohibiting the exercise of shareholder’s preemption, determining the standard of equal terms, executing in the implementation process the exercise of preemption in the procedure, and determining the assigning price of the equity
